Terms & Conditions
Terms for using the DealRoom marketplace
These terms explain the platform’s role, the responsibilities of founders and investors, and the conditions applying to founder membership.
1. DealRoom’s role
DealRoom provides technology for founders to present business opportunities and for participating investors to discover and communicate with founders. DealRoom is not a bank, lender, broker, dealer, financial institution, investment fund or financial adviser. DealRoom does not receive or hold investment money, execute investments, make investment decisions for users or guarantee any outcome.
2. Accounts and eligibility
Users must provide accurate account information, keep login details secure, use the service lawfully and be legally able to enter agreements relevant to their use of the platform. Users are responsible for activity through their accounts.
3. Founder membership and billing
Founder membership costs $39.99 AUD per month and renews monthly until cancelled. Membership provides access to founder marketplace features; payment does not purchase investment, investor contact, funding, business success or any return. Current inclusions and price are shown before checkout.
4. Cancellation and refunds
Founders may cancel through the billing management option in their account. Cancellation generally takes effect at the end of the current paid billing period, with access continuing until then. Refund eligibility is explained in the Refund & Cancellation Policy and does not limit rights that cannot lawfully be excluded.
5. Applications and verification
DealRoom may review, verify, approve, reject, request changes to, suspend or remove applications and profiles. Verification may include company, registration, website, email, identity, public-record and other reasonable checks. Verification is not an endorsement, warranty, investment recommendation or guarantee that information is accurate or an opportunity is suitable.
6. Investor interactions and risk
Investors independently decide what to review, who to contact and whether to invest. Investing involves risk. Users must conduct their own due diligence and obtain independent legal, financial, tax or other professional advice where appropriate.
7. User responsibilities
Founders are responsible for their profile, claims, documents and communications. Investors are responsible for their assessments and decisions. Users must respect confidentiality, privacy and intellectual property and must not rely on DealRoom as a substitute for professional advice or due diligence.
8. Prohibited activity
Users must not provide false or misleading information, impersonate others, fabricate traction or credentials, make guaranteed-return claims, commit fraud, harass others, send spam, misuse personal information, introduce malicious code, scrape restricted content or use DealRoom for unlawful conduct.
9. Content and intellectual property
Users retain ownership of content they submit and grant DealRoom a non-exclusive licence to host, display, reproduce and process it as needed to operate, moderate and promote the platform according to the visibility they select. Users must have the right to submit their content. DealRoom’s branding, software and original materials remain protected.
10. Privacy and communications
Personal information is handled as described in the Privacy Policy. Marketplace communications may be monitored or reviewed where reasonably necessary for safety, support, moderation or legal compliance. Users should not send sensitive identity or financial records unless specifically requested through an appropriate secure process.
11. Moderation and account action
DealRoom may investigate reports, limit content visibility, request information, suspend or terminate access, or preserve information where reasonably necessary to protect users, platform integrity or legal compliance. Serious or repeated breaches may result in immediate action.
12. Service availability and changes
The service is provided on an as-available basis and may change, be interrupted or contain errors. DealRoom may update features, prices and these terms with appropriate notice where required. Continued use after an effective update constitutes acceptance where permitted by law.
13. No guarantees
DealRoom does not guarantee investment, funding, investor contact, response rates, business success, information accuracy, investment performance, availability or returns. Founder information may be reviewed, but DealRoom cannot guarantee its completeness, accuracy or future performance.
14. Liability
To the extent permitted by law, DealRoom is not liable for independent user decisions, negotiations, transactions, user-provided information or indirect or consequential loss. Nothing in these terms excludes rights, guarantees or remedies that cannot lawfully be excluded or limited.
15. Questions
Questions about these terms can be sent to contact@dealroomau.com. Formal legal review should be obtained before relying on these terms for a particular transaction or regulatory purpose.
These terms are written for transparency and require professional legal review for the final operating entity and applicable Australian law before launch.
